RedVision Marketplace Supplier Agreement

Version 1.0 · October 1, 2026

This agreement is entered into between Vision Global LLC, an Illinois limited liability company operating the RedVision brand, located at 15255 S 94th Ave, Orland Park, IL 60462 (“RedVision”), and the person or business identified in the signature section (“the Supplier”).

1Purpose

The Supplier may offer and sell its products or services on the RedVision Marketplace (redvision.us), and RedVision will act as an intermediary: it will publish the Supplier’s products, process buyers’ payments and forward purchase orders to the Supplier.

2Marketplace Policies

The RedVision Marketplace Policies are part of this agreement. By signing, the Supplier declares that it has read and accepts them, especially the Seller Policy, Prohibited Items, Payments and Fees, Shipping, Returns, RedVision Guarantee and, if it sells machinery or vehicles, the Machinery Policy. If this agreement and the Policies differ, this agreement prevails.

3Supplier approval

Signing this agreement does not guarantee approval. The RedVision Review Committee will review the application and respond within 10 business days. RedVision membership is not required to sell. If the Committee does not approve the Supplier, this agreement has no effect.

4Commissions and fees

Supplier typeMonthly feeCommission per sale
No membershipUS$015%
Standard memberUS$6913%
Premium memberUS$19910%
  • The commission is calculated on the product price. Shipping is not subject to commission.
  • Stripe’s processing fee (2.9% + US$0.30 per transaction) is deducted separately.
  • The reduced commission applies only if the membership is active and current on the date of sale.
  • RedVision will give at least 15 days’ notice of any fee change.

5Product listings

For now, RedVision uploads the Supplier’s products to the platform using the information the Supplier provides through the product registration form. The Supplier approves each listing before it goes live. Once RedVision creates the Supplier’s username and password, the Supplier will be responsible for uploading and maintaining its own products and for all activity on its account.

In all cases, the Supplier is responsible for photos, descriptions, prices and inventory being true and for having the right to use them.

6Orders, shipping and payments

  1. RedVision sends the purchase order to the Supplier.
  2. The Supplier confirms it within 2 business days and ships or provides the service within the stated time.
  3. The Supplier pays for shipping and sends RedVision proof of shipment (tracking number, freight bill or signed delivery photo).
  4. After delivery there is a 7-day period for buyer claims.
  5. RedVision pays the Supplier weekly by direct deposit: the product price plus the shipping charged, less the commission and Stripe’s fee.

Payment is not released without proof of shipment. During its first 90 days, the Supplier has a 14-day hold.

7Returns, guarantee and refunds

The Supplier accepts the Returns Policy and the RedVision Guarantee. When RedVision refunds a buyer for a valid claim or a chargeback attributable to the Supplier, the Supplier will repay that amount to RedVision. RedVision will first deduct it from held or future payments; if insufficient, the Supplier will pay the difference within 15 days of written notice.

8Machinery, equipment and vehicles

If the Supplier sells machinery, equipment or vehicles, it must declare the sale type (new, used with warranty or used “as is”), provide the RedVision Used Equipment Inspection Report, allow the buyer to inspect before payment and accept that payment is held until 2 business days after delivery. The Supplier declares that the equipment is free of debts and liens. Purchases may be financed through RedVision’s approved financial institution, under its own terms.

9Supplier obligations

  • Sell only permitted products and hold the licenses, permits and insurance required for its category.
  • Provide RedVision its verification information (ID, Form W-9 and bank account) and update it once a year, as required by the federal INFORM Consumers Act.
  • Respond to buyers within 24 business hours.
  • Comply with the tax, product safety, warranty and consumer protection laws that apply to it.
  • Use buyer data only to fulfill their orders.
  • Not divert sales outside the platform: not request or accept payments outside RedVision from buyers met through the Marketplace.

10Content license

The Supplier authorizes RedVision to use, free of charge, its product photos, text, trademarks and videos to display them on redvision.us, on social media and in ads promoting its products, while this agreement is in effect.

11Term and termination

This agreement takes effect upon approval by the Review Committee and continues indefinitely. Either party may terminate it with 30 days’ written notice. RedVision may suspend or terminate it immediately if the Supplier breaches the Policies, commits fraud or sells prohibited items. Upon termination, the Supplier must fulfill pending orders, and its payments will be released when the claim periods expire.

12General provisions

  • Independent relationship: the Supplier is an independent business; it is not an employee, partner or agent of Vision Global LLC.
  • Indemnification: the Supplier will hold Vision Global LLC harmless from third-party claims caused by its products, services or breaches.
  • Limitation of liability: RedVision’s total liability to the Supplier shall not exceed the commissions RedVision charged it in the 3 months before the claim.
  • Changes: RedVision may update the Policies with at least 15 days’ notice. If the Supplier disagrees, it may terminate the agreement before they take effect.
  • Governing law: the laws of the State of Illinois. Disputes will first be addressed through negotiation and mediation; otherwise, the state or federal courts of Cook County, Illinois, shall have jurisdiction.
  • Electronic signature: the parties agree that the electronic signature of this agreement is as valid as a signature on paper.
  • Language: if the Spanish and English versions differ, the Spanish version prevails.
